These Terms & Conditions ("Terms") govern your use of shopup.lk (the "Platform"), an online marketplace that connects buyers with independent sellers across Sri Lanka. The Platform is governed and operated by alteredminds software solutions (Pvt) Ltd ("we", "us", or "our").

By creating an account, browsing the Platform, or completing a purchase, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Platform.

You must be at least 18 years of age and capable of entering into a legally binding contract under the laws of Sri Lanka to use the Platform. By using the Platform, you represent that you meet this requirement.

shopup.lk provides a venue for third-party sellers ("Sellers") to list and sell products. Unless stated otherwise, alteredminds software solutions (Pvt) Ltd, as the operator of shopup.lk, is not the seller of products listed on the Platform. on the Platform. Each order may involve one or more Sellers, and the contract of sale for products is between you and the relevant Seller.

We facilitate transactions, payment processing, and customer support but are not responsible for the quality, safety, legality, or availability of products offered by Sellers, except as required by applicable law.

To place orders or sell on the Platform, you may need to register an account. You agree to provide accurate, current, and complete information and to keep your login credentials secure. You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the Platform.

Product descriptions, images, prices, and availability are provided by Sellers. We strive to ensure information is accurate but do not guarantee that descriptions or other content are error-free.

Prices are displayed in Sri Lankan Rupees (LKR) unless otherwise stated. Sellers may offer promotions or deals subject to their own terms and stock availability. We reserve the right to correct pricing errors and to cancel orders placed at an incorrect price, with a full refund where payment has been collected.

When you place an order, you make an offer to purchase from the relevant Seller(s). An order is confirmed once payment is successfully authorized or captured through our payment partner, PayHere.

We accept online payments processed securely via PayHere. By completing a payment, you also agree to PayHere's applicable terms and conditions. We do not store your full card details on our servers; payment data is handled by PayHere in accordance with industry security standards.

Orders may be split into multiple packages when items are fulfilled by different Sellers. Shipping fees, where applicable, are shown at checkout before you confirm payment.

Delivery timelines and shipping methods depend on the Seller and your location within Sri Lanka. Estimated delivery information may be provided at checkout or in order confirmations but is not guaranteed.

Risk of loss for products passes to you upon delivery to the address you provide, unless otherwise required by law.

Returns and refunds are handled in accordance with our Return & Refund Policy, which forms part of these Terms. Please review that policy for eligibility, timeframes, and the process to request a return or refund.

Sellers must comply with applicable laws, provide accurate listings, fulfill orders promptly, and honour valid returns and refunds. Sellers are solely responsible for the products they offer and for any applicable taxes, licences, or permits required for their business.

You agree not to:

• Use the Platform for unlawful, fraudulent, or abusive purposes
• Interfere with the operation or security of the Platform
• Upload false, misleading, or infringing content
• Attempt to circumvent fees, payment systems, or account restrictions
• Harass other users, Sellers, or our staff

The Platform, including its design, logos, software, and content created by us, is owned by or licensed to alteredminds software solutions (Pvt) Ltd and protected by intellectual property laws. You may not copy, modify, or distribute our content without prior written consent.

Product images and descriptions remain the property of the respective Sellers or their licensors.

To the fullest extent permitted by law, alteredminds software solutions (Pvt) Ltd shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform or from products sold by Sellers.

Our total liability to you for any claim relating to the Platform shall not exceed the amount you paid for the relevant order in the twelve (12) months preceding the claim, except where liability cannot be limited under Sri Lankan law.

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when changes were last made. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
